Other capitalized terms are defined where they first appear."]},{"$$mdtype":"Tag","name":"ul","attributes":{},"children":[{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“APIs” means the application programming interfaces made available by e-Boks that allow integration with the Digital Postbox Platform."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Customer/Partner” means the government body, postal operator, or other partner, with whom e-Boks has a separate agreement for the provision of the Digital Postbox Platform, and with whom the Sending Customer has its own, separate contractual relationship governing its use of the Digital Postbox Platform."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Digital Postbox Platform” means the e-Boks white-label digital postbox platform, made available to End-Users and Sending Customers via a Customer/Partner."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Documentation” means the API reference material, integration guides, and related technical content published by e-Boks on its developer documentation sites, including any associated sample code or software development kits."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“e-Boks” means e-Boks GCC ApS or such other entity within the e-Boks group as has entered into the agreement with the relevant Customer/Partner for the provision of the Digital Postbox Platform."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“End-User” means physical persons or legal entities, who have signed up for a digital mailbox and receive digital mail from Sending Customers and other services in the Digital Postbox Platform."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Intended Purpose” means sending messages to End-Users and utilizing other services made available to the Sending Customer through the Digital Postbox Platform, in accordance with the Sending Customer’s agreement with the Customer/Partner."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Sending Customer” means an entity authorized, via its agreement with a Customer/Partner, to send messages through the Digital Postbox Platform, and which accesses the Documentation and/or APIs for that purpose."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["“Terms” means these Terms and Conditions, as updated by e-Boks from time to time in accordance with clause 9 below."]}]}]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"2-scope","__idx":2},"children":["2. Scope"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["These Terms and Conditions apply to authorized Sending Customers that access the Documentation, and that may integrate with the e-Boks Digital Postbox Platform through the APIs. These terms govern the Sending Customer’s access to and use of e-Boks’ Documentation and APIs only."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer’s use of the Digital Postbox Platform itself, including commercial terms, service levels, onboarding, and billing, is governed by the Sending Customer’s agreement with the Customer/Partner. These Terms do not create, replace, or amend such agreement, and nothing in these Terms shall be construed as establishing a direct commercial relationship between e-Boks and the Sending Customer beyond the limited right of use described below."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["For the avoidance of doubt, these Terms shall not affect: (a) any agreement between e-Boks and a Customer/Partner; or (b) any agreement between the Sending Customer and a Customer/Partner. In the event of any conflict between these Terms and such agreement between the Sending Customer and a Customer/Partner, the terms of that other agreement shall prevail as between the parties thereto. However, as between the Sending Customer and e-Boks, clauses 5, 7, 10, and 11 shall prevail over any conflicting term of such agreement. The Sending Customer warrants that it will not enter into any agreement which conflicts with those clauses, which shall continue to apply directly between e-Boks and the Sending Customer regardless of any such conflict."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["By accessing or using the Documentation or the APIs made available by e-Boks, the Sending Customer accepts and agrees to be bound by these Terms. If the Sending Customer does not agree to these Terms, it must not access or use the Documentation or the APIs."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"3-right-of-use","__idx":3},"children":["3. Right of Use"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks grants the Sending Customer a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use the Documentation solely to integrate its own systems with the Digital Postbox Platform for the Intended Purpose. All rights not expressly granted are reserved to e-Boks."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Any right to use the Digital Postbox Platform via the APIs shall be governed by the agreement between the Sending Customer and the Customer/Partner."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"4-obligations","__idx":4},"children":["4. Obligations"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall:"]},{"$$mdtype":"Tag","name":"ul","attributes":{},"children":[{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Only use the Documentation and the APIs to integrate their specific systems with the e-Boks Digital Postbox Platform for the Intended Purpose."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Comply with all requirements and restrictions set forth in these Terms and the Documentation in all uses of the APIs."]}]},{"$$mdtype":"Tag","name":"li","attributes":{},"children":[{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Not use the Documentation or APIs for any illegal, unauthorized, or improper purpose, or in any manner that could damage, disable, overburden, or impair the Digital Postbox Platform, the APIs, or their availability to any other party."]}]}]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"5-api-access-and-security","__idx":5},"children":["5. API Access and Security"]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":3,"id":"51-fair-use","__idx":6},"children":["5.1 Fair use"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not make API calls at a volume or frequency that is unreasonable or that could degrade the Digital Postbox Platform’s performance for End-Users or other Sending Customers. e-Boks may apply rate limits or throttle traffic to protect the Digital Postbox Platform’s stability; such measures taken in good faith shall not constitute a breach of these Terms by e-Boks."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not attempt to probe, scan, penetration-test or circumvent any security or authentication measure of the Digital Postbox Platform or the APIs without e-Boks’ prior written consent."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall notify the Customer/Partner and e-Boks without undue delay, and in any event within 24 hours, of any security incident affecting or potentially affecting the Digital Postbox Platform."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":3,"id":"52-environment-separation","__idx":7},"children":["5.2 Environment separation"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not use staging, sandbox, or pre-production credentials or environments to process live production traffic or personal data. Test and sandbox environments must only be used with synthetic or anonymized test data."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":3,"id":"53-suspension-and-restriction-of-access","__idx":8},"children":["5.3 Suspension and Restriction of Access"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks may suspend, restrict or revoke the Sending Customer's access to the APIs at any time if the Sending Customer breaches these Terms, uses the Documentation or the APIs for anything but the Intended Purpose, or engages in any activity that may threaten the security, integrity, or availability of the e-Boks Digital Postbox Platform."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks may, upon breach of these Terms, at its sole discretion, either terminate or suspend the Sending Customer’s access to the APIs with immediate effect or provide the Sending Customer with written notice of the breach and a reasonable opportunity to remedy it before terminating or suspending access to the APIs on that basis."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Irrespective of whether the Sending Customer has breached these terms, e-Boks may suspend the Sending Customer’s access to the APIs immediately and without prior notice where necessary to address an observed or suspected security threat. e-Boks shall notify the Sending Customer of such suspension as soon as reasonably practicable thereafter."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"6-personal-data-and-data-protection","__idx":9},"children":["6. Personal Data and Data Protection"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Documentation describes the technical means of integrating with the Digital Postbox Platform and does not in itself grant any right to process personal data. Any processing of personal data through the Digital Postbox Platform is governed by the data processing terms applicable to the Sending Customer’s agreement with the relevant Customer/Partner, and not by these Terms."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks may require confirmation that an appropriate data processing agreement is in place, covering the Sending Customer’s processing of personal data via the Digital Postbox Platform, as a condition of enabling production API access."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"7-liability","__idx":10},"children":["7. Liability"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks provides the Documentation and APIs on an “as-is” basis. Unless otherwise required by mandatory applicable law, e-Boks cannot be held liable for the correctness of the Documentation or any content of the Documentation and use thereof. e-Boks is not liable for any loss, whether direct or indirect, including but not limited to loss of profits, revenue, data or goodwill, business interruption or consequential or incidental damages, arising out of or in connection with the use of, or inability to use, the Documentation or the APIs."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks shall not be liable for damages for breach of contract, non-performance or non-functionality. e-Boks is not liable for any loss as a result of unauthorized use of the provided Documentation or APIs, or from the Sending Customer’s failure to comply with these Terms."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall indemnify e-Boks against any loss, damage, cost or third-party claim arising out of the Sending Customer’s breach of these Terms, its unauthorized use of the Documentation or the APIs, or its failure to comply with clause 5."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"8-availability","__idx":11},"children":["8. Availability"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks does not warrant that the Documentation or the APIs will be available on an uninterrupted, timely, secure or error-free basis. e-Boks may at any time and at its sole discretion modify or remove all or any part of the Documentation, including for maintenance, security or operational reasons, without liability to the Sending Customer."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Nothing in these Terms shall be construed as warranty concerning the availability or quality of the Digital Postbox Platform or any service provided to the Sending Customer by the Customer/Partner."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"9-modifications","__idx":12},"children":["9. Modifications"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks may update the provided Documentation and these Terms in its sole discretion at any time. The Sending Customer is responsible for ensuring that they are referring to the latest version when using the Documentation and Terms."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer acknowledges and agrees that updates and modifications to the Documentation and Terms may be implemented by e-Boks at any time and without notice to the Sending Customer. Unless otherwise notified or declared by e-Boks, such modifications and updates will become effective upon publication."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"10-intellectual-property","__idx":13},"children":["10. Intellectual Property"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["All intellectual property rights to the Documentation, the APIs and the e-Boks Digital Postbox Platform, including any updates and modifications, are and remain the exclusive property of e-Boks. These Terms grant the Sending Customer only the limited right of use as defined in clause 3. No title to, or ownership of, the Documentation, and no intellectual property rights, are transferred or assigned to the Sending Customer."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not copy, modify, decompile, reverse engineer or create derivative works from the Documentation or the APIs, except to the extent expressly permitted by these Terms or by mandatory law."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not (a) use the Documentation or the APIs to design, develop or market any product or service that competes with the Digital Postbox Platform; (b) publish or disclose any benchmark or performance test results relating to the APIs without e-Boks’ prior written consent; or (c) use e-Boks’ trademarks, logos or other signs, except as expressly permitted in writing by e-Boks."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"11-confidentiality","__idx":14},"children":["11. Confidentiality"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Documentation is published by e-Boks and is publicly available; nothing in this clause 11 restricts the Sending Customer’s use of the Documentation itself, which is instead governed by clauses 3 and 10."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["This clause 11 applies instead to any information that is not part of the publicly published Documentation and that e-Boks provides to the Sending Customer in connection with its integration with the Digital Postbox Platform, including without limitation API keys, credentials, and access to non-production or production environments; non-public technical, architectural, or security information; and any other information e-Boks designates in writing as confidential (together, “Confidential Information”)."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["The Sending Customer shall not disclose Confidential Information to any third party without e-Boks’ prior written consent, except to employees and contractors who need access for the permitted integration purpose and who are bound by confidentiality obligations no less protective than those set out in these Terms, and shall protect Confidential Information using at least the same degree of care it applies to its own confidential information of a similar nature, and in no event less than reasonable care. The Sending Customer shall implement and maintain appropriate technical and organizational security measures, in accordance with generally accepted industry standards, to ensure and protect its credentials and its integration with the Digital Postbox Platform against unauthorized access or use. The Sending Customer shall notify the Customer/Partner and e-Boks promptly upon becoming aware of any suspected or actual compromise of its credentials."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["These obligations do not apply to Confidential Information that: (a) is or becomes publicly available through no fault of the Sending Customer; (b) e-Boks has designated in writing as no longer confidential; or (c) the Sending Customer is required to disclose by law, regulation, or a competent court or regulatory authority, provided that, to the extent legally permitted, the Sending Customer gives e-Boks reasonable prior notice of such requirement."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"12-term-and-termination","__idx":15},"children":["12. Term and Termination"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["These Terms apply from the time the Sending Customer first accesses the Documentation and/or the APIs and shall remain in force for as long as the Sending Customer has such access."]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["Upon termination, the Sending Customer shall cease all use of the APIs and shall promptly cease use of, and either return or destroy, any Confidential Information. Clauses 7, 10, 11, 13, 14, and 15 shall survive termination or expiry indefinitely, to the extent permitted by applicable law."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"13-severability","__idx":16},"children":["13. Severability"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or other competent authority, that provision shall be modified to the minimum extent necessary to make it valid, legal and enforceable while preserving its commercial intent or, where such modification is not possible, shall be deemed severed from these Terms. In either case, the remaining provisions of these Terms shall continue in full force and effect."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"14-assignment","__idx":17},"children":["14. Assignment"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["e-Boks shall be entitled to assign, transfer or otherwise dispose of its rights and obligations under these Terms, in whole or in part, to any entity within the e-Boks group or to any third party, including in connection with a merger, demerger, reorganisation or a sale or transfer of all or part of its business or of the Digital Postbox Platform, in each case without the consent of the Sending Customer. e-Boks shall further be entitled to use subcontractors in the performance of its obligations under these Terms."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"15-governing-law-and-jurisdiction","__idx":18},"children":["15. Governing Law and Jurisdiction"]},{"$$mdtype":"Tag","name":"p","attributes":{},"children":["These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts, with the City Court of Copenhagen (Københavns Byret) as the court of first instance, unless otherwise required by mandatory law."]},{"$$mdtype":"Tag","name":"Heading","attributes":{"level":2,"id":"16-contact","__idx":19},"children":["16.
